Terms of use

The website service made available under the URL www.whatwouldyouliketochange.com.au (the "Site") is operated by PricewaterhouseCoopers Australia (collectively "us", "we" or "PwC"). By accessing the Site, you acknowledge that you have read, understood and agreed to these terms of use, including our privacy policy, which is available at www.pwc.com/au/privacy.

Changes to these terms of use

We may change these terms of use at any time without further notice to you. If we change these terms of use, we will post a revised copy of these terms of use on the Site. If you use the Site after the date on which we post a revised copy of these terms of use on the Site, you acknowledge that you will be deemed to have read, understood and agreed to such revised terms of use.

If we consider that any changes to these terms of use are significant and you have opted to receive email communications from us, we will use reasonable efforts to notify you of such changes by contacting you at the email address that you have provided to us when applying for usership to the Site.

Joining the Site

The Site is intended for use by the general public and there are no limitations on access.

When registering with the Site, you must provide accurate, current and complete information.

Your use of the Site

You are responsible for your use of the Site, including any use of the Site by any person using the Site under your account name, PIN and/or password.

You may post content or materials, including text, photos and video, to the Site, view content uploaded or created by other people on the Site, participate in any blogs, forums or chat rooms which may be made available on or through the Site (subject to any specific terms which may apply to such blogs, forums or chat rooms).

You agree that we may display any content or materials which you post to as content, any blog, forum, chat room or any other part of the Site to other users of the Site or persons accessing the Site.

You must not:

  • use the Site in an unlawful manner or any other manner which may create liability or violate any law or regulation;
  • use or interact with the Site in any manner that could damage, impair or interfere with the Site, including posting, uploading, transmitting, sharing, storing or otherwise making available on or through the Site ("posting") any content or material that contains viruses or any other computer code designed to interrupt, damage or limit the functionality of any computer or telecommunications software, hardware or equipment;
  • post any content or material that we consider to be objectionable, including content that we consider to be unlawful, fraudulent, defamatory, infringing, harmful, threatening, abusive, inflammatory, harassing, vulgar, obscene, malicious, invasive of privacy, hateful, discriminatory or in violation of any applicable domestic or foreign law or regulation, or the rights of any third party (including without limitation, any proprietary rights, contractual rights, intellectual property rights, moral rights or privacy rights);
  • use the Site to create or maintain a false identity or post any content or material that misrepresents your identity, current or previous work history, qualifications or affiliations;
  • post any content or material information that you do not have the right to disclose under any law or under any contractual or fiduciary relationships;
  • post any unsolicited communications or advertisements;
  • use the Site to collect or harvest names or other personal information of other users of the Site for any purpose;
  • use any software, devices, scripts, robots or any other means or processes to access, "scrape," "crawl" or "spider" any web pages comprising the Site;
  • use the Site or post content or material which restricts or inhibits any other member of the Site from using or enjoying the Site or which may cause us, any PwC related entity, any of our services providers or licensors that are in any way connected with our provision of the Site, or any other member of the Site to suffer loss, damage or liability;
  • reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying intellectual property used to provide the Site or any part of the Site;
  • attempt to or actually override any security component included in or underlying the Site, including account names, PINs and/or passwords;
  • remove any copyright, trademark or other proprietary rights notices contained in or on the Site;
  • use or attempt to use another person’s account without express authorisation from that other person; or
  • hold us or any PwC related entity liable for any loss or damage which you may suffer that arising from or is connected with your use of, or interaction with, the Site.

Intellectual property in the Site

The Site and all of the content and materials which are accessible through the Site are owned by us and/or our licensors.

If you are a member of the Site and are not in breach of these terms of use, we grant to you a limited, revocable, non-exclusive and non-transferable licence to access and use the content and materials available on or through the Site, to make a copy of such content and materials for the sole purpose of accessing and using the Site, and print a reasonable number of copies of such content and materials for your own personal use ("Site use licence").

You must not use the content and materials available on or through the Site in any manner other than as expressly permitted by the Site use licence.

Content submitted by you to the Site

You are responsible for all content and materials posted through your account or otherwise posted by you ("your posted content").

You warrant to us that:

  • you are the owner of your posted content and have all necessary rights to grant to us the posted content licence in the manner described below;
  • your posted content does not violate or infringe the rights of any person, including any intellectual property rights such as copyright or trade mark, or any privacy rights; and
  • your posted content is lawful and not defamatory to any person.

On posting your posted content, you will immediately, and without further action on the part of either you or us, grant to us a non-exclusive, perpetual, irrevocable, worldwide, fully paid and royalty free licence to use, copy, reproduce, edit, modify, adapt, translate, make derivative works and/or improvements of, disseminate, transmit, distribute, exhibit, publish, publicly perform, display and otherwise exploit your posted content for any purpose, including the right to sublicense such rights ("posted content licence").

PwC does not make any claim of ownership of or title to your posted content. For clarity, the posted content licence does not operate to transfer ownership of or title to your posted content to us.

You are responsible for maintaining back-up copies of your posted content. You agree that we are not responsible or liable for deletion, loss or corruption of your posted content or any failure to store or back-up any of your posted content. Moderation of posted content

All posted content will be moderated prior to being published on the Site. Any content which the moderator deems as failing to comply with the standards set out in these terms of use will not be published. If the moderator does not publish your content you will receive a message asking you to resubmit your comments in a form that complies with these terms of use.

The moderation and publication of comments will take place during business hours Monday to Friday 9am to 5pm. Whilst you are able to submit content to the Site at any time, comments will only be processed and posted during business hours.

We reserve the right to:

  1. a) access and monitor the use of the Site and any posted content on the Site; and
  2. b) take any action we consider is necessary to protect the Site and users of the Site, including editing or removing any posted content or discontinuing any discussion forums.

Review of content submitted by you to the Site

We may remove your posted content from the Site or refuse to make available your posted content on the Site in our discretion, including if we consider your posted content to be objectionable or if your posted content infringes any person's intellectual property rights or privacy.

Operation of the Site and your account

We may modify, suspend or discontinue the operation of the Site or your account at any time and without notice to you. If you have opted to receive email communications from us, we will use reasonable efforts to notify you of such action by contacting you at the email address that you have provided to us when applying for usership to the Site.

Third party content

The Site may contain links to other web sites which we may not own or control. Links from the Site to such web sites does not indicate that we sponsor, endorse, or approve of any content or material on such web sites. We do not investigate or monitor such web sites. We do not make any warranties or representations regarding the quality, accuracy, merchantability or fitness for purpose of any content or material on such web sites.

Disclaimer

We make the Site available to you on an "as is" and "as available" basis.

We are not responsible or liable for the completeness, accuracy, availability, timeliness, security or reliability of the Site, the content and material made available on or through the Site, and any functionality of the Site (including account names, PINs and/or passwords). We are not responsible or liable for any errors or omissions, or for the results obtained from the use of information made available on or through the Site.

We can not guarantee that any profile of any member of the Site was created by, or is being operated by, the actual person identified in that profile.

The content and material made available on or through the Site is intended to satisfy the personal interest of users of the Site only. Liability

We do not exclude or limit the application of any provision of any statute (including the Trade Practices Act 1974 (Cth)) where to do so would contravene that statute or cause any part of this section of these terms of use to be void.

Except to the extent that the above paragraph applies, and to the extent permitted by law, we exclude:

  • all statutory liability, tortious liability (including negligence), conditions and warranties implied by custom, the general law or statute; and
  • liability for all special, indirect, incidental, consequential or punitive damage and economic loss, loss of profits, loss of revenue, loss of bargain, loss of goodwill, loss of anticipated savings, or loss of use of products or equipment,

arising out of or relating to these terms of use, the Site or any of its functionality, any content available or accessible through the Site, or any failure to supply or delay in supplying the Site, whether or not we were aware or should have been aware of the possibility of such loss or damage.

Our liability to you for any breach of any express or implied provision of these terms of use (other than an implied warranty of title) is limited, at our option, to refunding the price of the goods or services in respect of which the breach occurred or to providing, replacing or repairing those goods or providing those services again.

Indemnity

You indemnify us and each of the PwC related entities, including each of their related partnerships or corporations, and the partners, employees and agents of all such entitles, against any loss, costs, claims, damages, expenses, liabilities, proceedings or demands (including reasonable legal fees) relating to or arising out of any breach by you of these terms of use.

Governing law

These terms of use are governed by the laws in force in New South Wales, Australia. Each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of New South Wales, Australia.
